1. Who we are

The Closed Session is a trading name of Paul Halpin, a sole trader registered in Italy. References to "The Closed Session", "we", "us", and "our" in these Terms refer to Paul Halpin trading as The Closed Session.

2. What these Terms cover

These Terms govern your access to and use of the-closed-session.com and the purchase of digital products offered through this site. They apply to all visitors and purchasers. Use of this site constitutes acceptance of these Terms in full.

3. Our products

The Closed Session offers digital governance products — including frameworks, diagnostics, and playbooks — delivered electronically. Each product is described on its individual product page, which forms part of these Terms by reference. The description on the product page at the time of purchase is the definitive specification of what you are buying.

4. Purchases and the Merchant of Record

All purchases made through this site are processed by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for all transactions. This means:

• Your purchase contract at the point of transaction is with Paddle, not directly with The Closed Session.
• Paddle collects payment, issues receipts, calculates and remits applicable sales tax and VAT, and manages the billing relationship on our behalf.
• Paddle's own Terms of Service and Privacy Policy govern the transactional relationship. These are available at paddle.com/legal/terms.

The Closed Session retains full responsibility for the content, quality, accuracy, and delivery of all digital products purchased through this site.

5. Pricing

All prices are listed in Euros (€) and are inclusive of any applicable taxes where required by law. Paddle calculates and applies the correct tax treatment at checkout based on your location and the nature of the product. Prices are as displayed on individual product pages at the time of purchase.

We reserve the right to update pricing at any time. The price displayed at the time you complete a purchase is the price that applies to that transaction.

6. Delivery

Digital products are delivered electronically upon Paddle's confirmation of payment. Delivery is made by link to your email address as provided at checkout. It is your responsibility to ensure your email address is accurate at the time of purchase.

If you do not receive your product within a reasonable time following payment confirmation, please contact us at support@the-closed-session.com before assuming non-delivery.

7. Intellectual property

All content within The Closed Session's products — including frameworks, diagnostic instruments, playbooks, written content, structural elements, and associated materials — is the intellectual property of Paul Halpin trading as The Closed Session. All rights reserved.

Your purchase grants you a personal, non-exclusive, non-transferable licence to use the product for your own professional purposes. This licence does not transfer ownership of the content.

8. Prohibited use

You may not, without prior written permission from The Closed Session:

• Redistribute, resell, sublicence, or make available any product or part thereof to third parties
• Copy, adapt, publish, or create derivative works from any product content
• Use any product content in the training of AI or machine learning models
• Use any product in a way that misrepresents its origin or authorship

9. Accuracy of information

Our products are provided for professional information and practical use. They represent the practitioner perspective and professional experience of the author and are not intended as legal, financial, or regulatory advice. 10. Limitation of liability

To the fullest extent permitted by applicable law, The Closed Session's aggregate liability to you in connection with any product purchased shall not exceed the amount you paid for that product.

We do not accept liability for any indirect, consequential, special, or incidental loss or damage arising from or in connection with use of our products, even if we have been advised of the possibility of such loss.

We reserve the right to update these Terms and to amend, suspend, or discontinue any product, feature, or content at any time. We will take reasonable steps to notify users of material changes. Continued use of this site following a change constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising from or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the Italian courts.

If you are a consumer located in another EU member state, you retain the benefit of any mandatory consumer protection provisions applicable in your country of residence.
